PUBLIC OFFER AGREEMENT (TERMS AND CONDITIONS)

 

1. GENERAL PROVISIONS

1.1. This Public Offer Agreement (hereinafter referred to as the “Agreement” or “Offer”) constitutes an official and legally binding offer addressed to an unlimited number of individuals to enter into a distance sale and purchase agreement under the terms set forth herein.

(Hereinafter collectively referred to as the “Seller”).

1.3. This Agreement governs the sale of goods through the online store operated under the brand “Taboo Clothing Company”, available at https://www.tabooclothes.com.ua (hereinafter referred to as the “Website”).

1.4. The Buyer’s full and unconditional acceptance of this Offer (Acceptance) shall be deemed to occur upon payment for the order placed on the Website.

2. DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

  • “Goods” — clothing items, accessories, components, and related products presented on the Website.

  • “Website” — the Seller’s online platform used for presentation and sale of Goods.

  • “Seller” — the entities listed in Clause 1.2 of this Agreement.

  • “Buyer” — an individual who places an order and accepts this Offer.

  • “Order” — the Buyer’s selection of Goods and submission of such selection through the Website with subsequent payment.

3. SUBJECT OF THE AGREEMENT

3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

3.2. This Agreement regulates:

  • the Buyer’s independent selection of Goods;

  • placement of an Order via the Website;

  • payment for the Goods;

  • processing, shipment, and delivery of the Order.

4. ORDER PLACEMENT PROCEDURE

4.1. The Buyer may place an Order for any Goods available on the Website.

4.2. Each item may be ordered in any quantity available.

4.3. In the event that a product is out of stock, the Seller shall notify the Buyer via email or other contact details provided.

4.4. If a product is unavailable, the Buyer has the right to:

  • replace it with a similar product;

  • cancel the item;

  • cancel the entire Order.

5. PAYMENT TERMS

5.1. Payment for the Goods is made in advance using the payment methods available on the Website.

5.2. If payment is not received, the Seller reserves the right to cancel the Order unilaterally.

6. DELIVERY TERMS (EUROPEAN UNION)

6.1. Delivery of Goods is carried out to all countries of the European Union using international courier and postal services, including but not limited to DHL, UPS, FedEx, and national postal operators.

6.2. The delivery address must be accurate and complete. The Seller shall not be liable for delays or non-delivery caused by incorrect information provided by the Buyer.

6.3. Estimated delivery time within the EU ranges from 5 to 21 business days, depending on the destination country and carrier. Delivery times are indicative and not guaranteed.

6.4. Customs duties, VAT, import taxes, and any other charges imposed by the destination country shall be borne exclusively by the Buyer.

6.5. The risk of accidental loss or damage to the Goods passes to the Buyer at the moment the Goods are handed over to the carrier.

7. RIGHTS AND OBLIGATIONS OF THE PARTIES

7.1. The Seller has the right to:

  • suspend or terminate fulfillment of the Agreement in case of violation by the Buyer;

  • modify the assortment, prices, and conditions unilaterally.

7.2. The Buyer undertakes to:

  • provide accurate personal and delivery information;

  • pay for and accept the Goods in a timely manner.

7.3. The Buyer has the right to:

  • place Orders via the Website;

  • require proper fulfillment of this Agreement by the Seller.

8. LIABILITY

8.1. The Parties shall be liable for failure to perform obligations in accordance with this Agreement and applicable law.

8.2. The Seller shall not be liable for:

  • changes in the appearance of Goods made by the manufacturer;

  • minor color discrepancies due to display settings;

  • delays caused by customs or logistics providers;

  • inaccuracies in information provided by the Buyer.

8.3. Force Majeure events include, but are not limited to, war, natural disasters, governmental actions, strikes, and disruptions in international logistics.

9. PERSONAL DATA & CONFIDENTIALITY

9.1. By placing an Order, the Buyer consents to the collection, processing, storage, and use of personal data in accordance with the Law of Ukraine “On Personal Data Protection.”

9.2. The Buyer’s personal data is confidential and used solely for order processing, delivery, communication, and settlements.

9.3. Acceptance of this Offer confirms the Buyer’s full agreement with the terms of this Agreement.

10. RETURN OF GOODS OF PROPER QUALITY

10.1. Returns of Goods of proper quality are made in accordance with applicable legislation.

10.2. Return shipping costs for international returns within the EU are borne by the Buyer.

10.3. Upon receipt of returned Goods in proper condition, the Seller shall refund the price of the Goods, excluding delivery and return shipping costs.

11. TERM AND TERMINATION

11.1. This electronic Agreement is deemed concluded from the moment of Acceptance by the Buyer.

11.2. The Agreement may be terminated by mutual consent prior to shipment of the Goods.

11.3. Either Party may terminate this Agreement unilaterally in cases provided by applicable law.

12. FINAL PROVISIONS

12.1. The Seller reserves the right to amend this Agreement unilaterally by publishing an updated version on the Website.

12.2. Viewing Goods and placing Orders on the Website is free of charge.

12.3. The Seller may grant third parties (individual entrepreneurs or legal entities) the right to use the Website platform for the sale of Goods in accordance with Ukrainian law.
